Stockholders of record of the Company\u2019s common stock as of the close of business on April 14, 2026 will be entitled to vote at the Annual Meeting. Additional information regarding the Annual Meeting will be provided in the Company\u2019s proxy statement.<\/p>\n<p>Because the date of the Annual Meeting has been advanced by more than thirty (30) days from the anniversary date of the Company\u2019s 2025 annual meeting, the Company has set a new deadline for the receipt of shareholder proposals submitted pursuant to Rule 14a-8 under the Securities Exchange Act of 1934, as amended (the \u201cExchange Act\u201d), for inclusion in the Company\u2019s proxy materials for the Annual Meeting. In order to be considered timely, such proposals must be received by the Company\u2019s Secretary no later than April 6, 2026.
