In another, the federal government is pushing to dismantle the company\u2019s ad tech empire \u2014 where it controls the software and infrastructure that powers much of the web\u2019s automated advertising auctions.<\/p>\n<p>Together, these two markets account for the vast majority of revenue at Alphabet, Google\u2019s $2 trillion parent company. And now, after years of regulatory scrutiny, both are under legal siege that strike at the heart of the company\u2019s business. <\/p>\n<p>The stakes are high. If the DOJ gets its way, the result would be the most aggressive corporate breakup ordered by the U.S. government since that of AT&#038;T (<span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/quote\/T\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/quote\/T\" target=\"_blank\" rel=\"noopener noreferrer\">T<\/a><\/span>) in the 1980s.<\/p>\n<h2 id=\"h328025\"><a id><\/a>An ad tech empire under serious fire<\/h2>\n<p>The ad tech lawsuit, filed in 2023, took a critical turn last month when Judge Leonie Brinkema <span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/google-loses-monopoly-court-case-ad-1851776594\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/google-loses-monopoly-court-case-ad-1851776594\" target=\"_blank\" rel=\"noopener noreferrer\">ruled that Google<\/a><\/span> had illegally tied together key parts of its advertising stack \u2014 specifically its publisher ad server and its ad exchange (AdX). That allowed Google to box out any potential competitors and control the flow of digital ad dollars across the open web.<\/p>\n<p>Essentially, Google designed a system where publishers had little choice but to use its tools to list and auction off ad space \u2014 and where the buyers, also on Google\u2019s platforms, were funneled through its exchange. The DOJ has said that this vertical integration allowed the company to quietly tilt the rules in its favor, manipulating auctions and undermining competition while pocketing a larger share of the ad market.<\/p>\n<p>At a hearing Friday in Virginia, the DOJ revealed its plan: force Google to divest both its publisher ad server and AdX, saying these businesses \u201cmust be separated\u201d to restore competition and break Google\u2019s dominance. The government also wants Google to open its real-time bidding infrastructure to rival firms, calling the status quo \u201ctoo dangerous\u201d for the market.<\/p>\n<p>Julia Tarver Wood, the DOJ\u2019s lead lawyer, warned that if 90% of publishers remain tied to Google\u2019s infrastructure, the market cannot function fairly.<\/p>\n<p>Google, unsurprisingly, has rejected the government\u2019s approach, arguing that such a breakup would be extreme, legally unprecedented, and potentially harmful to internet users. The company also emphasized that it competes for ad spending with rivals such as Meta (<span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/quote\/META\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/quote\/META\" target=\"_blank\" rel=\"noopener noreferrer\">META<\/a><\/span>), Amazon (<span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/quote\/AMZN\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/quote\/AMZN\" target=\"_blank\" rel=\"noopener noreferrer\">AMZN<\/a><\/span>), and TikTok.<\/p>\n<p>Karen Dunn, the company\u2019s lead counsel, said the DOJ\u2019s proposal is \u201cvery likely completely impossible\u201d without causing serious issues \u2014 citing concerns about privacy, security, and a lack of credible buyers.<\/p>\n<p>The company\u2019s lawyers say Google is willing to implement behavioral changes \u2014 such as sharing real-time ad exchange data and increasing auction transparency with rivals \u2014 but not sell any parts of its business. Dunn said that the only companies that could afford to buy its ad tech are \u201cenormous tech companies\u201d and that, in such a sale, Google\u2019s security and privacy could disappear.<\/p>\n<p>\u201cThe DoJ\u2019s additional proposals to force a divestiture of our ad tech tools go well beyond the court\u2019s findings, have no basis in law, and would harm publishers and advertisers,\u201d said Lee-Anne Mulholland, Google\u2019s head of regulatory affairs. <\/p>\n<p>Brinkema has scheduled a trial for September 22 to hear the proposals and Google\u2019s rebuttals \u2014 and to rule on any potential remedies.<\/p>\n<h2 id=\"h328026\"><a id><\/a>A threat to Chrome \u2014 and search<\/h2>\n<p>The ad tech case is only half the battle.<\/p>\n<p>Google is defending itself against <span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/google-doj-chrome-antitrust-case-search-engine-monopoly-1851777192?_gl=1*ks0wbj*_ga*NDg3NDc1NjAzLjE3MjY1OTIyNzQ.*_ga_V4QNJTT5L0*MTc0NjQ2NTg2Ni4yMTkuMS4xNzQ2NDY4NjcwLjYwLjAuMA..\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/google-doj-chrome-antitrust-case-search-engine-monopoly-1851777192?_gl=1*ks0wbj*_ga*NDg3NDc1NjAzLjE3MjY1OTIyNzQ.*_ga_V4QNJTT5L0*MTc0NjQ2NTg2Ni4yMTkuMS4xNzQ2NDY4NjcwLjYwLjAuMA..\" target=\"_blank\" rel=\"noopener noreferrer\">a separate antitrust ruling<\/a><\/span> going back to 2020 that found the company illegally maintained a monopoly in online search. The key tactic? Exclusive deals. For years, Google paid companies such as Apple (<span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/quote\/AAPL\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/quote\/AAPL\" target=\"_blank\" rel=\"noopener noreferrer\">AAPL<\/a><\/span>), Samsung, and Mozilla more than $20 billion annually to make its search engine the default option on their devices and browsers. <\/p>\n<p>That tactic, Judge Amit Mehta ruled in 2o24, helped entrench Google\u2019s dominance and shut out competition<\/p>\n<p>So what remedy is the DOJ is proposing? For one thing, a forced sale of Chrome, the world\u2019s most-used browser.<\/p>\n<p>That browser, the government argues, is a linchpin in Google\u2019s dominance. The DOJ says it\u2019s more than just a browser \u2014 it\u2019s an access point that defaults to Google Search and collects enormous troves of data. Forcing Google to sell Chrome, the DOJ claims, would break the company\u2019s feedback loop among search, ads, and AI \u2014 and open space for competitors to play catch-up.<\/p>\n<p>Mehta hasn\u2019t ruled yet on remedies in that case, but the proposal to spin off Chrome is already making waves. Tech companies including OpenAI, Perplexity, and even Yahoo (<span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/quote\/APO\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/quote\/APO\" target=\"_blank\" rel=\"noopener noreferrer\">APO<\/a><\/span>) <span><a data-ga=\"[[\"Embedded Url\",\"External link\",\"https:\/\/qz.com\/google-antitrust-case-search-ai-chrome-gemini-chatgpt-1851778708\",{\"metric25\":1}]]\" href=\"https:\/\/qz.com\/google-antitrust-case-search-ai-chrome-gemini-chatgpt-1851778708\" target=\"_blank\" rel=\"noopener noreferrer\">have reportedly expressed interest<\/a><\/span> in acquiring the browser if it\u2019s put up for sale.<\/p>\n<p>The DOJ has asked for other heavy penalties, such as making the company provide rivals with some of its data about what terms people search for and what websites they click on. The government also asked that Mehta preserves the ability to force Google to sell its smartphone operating system, Android, if the proposed remedies don\u2019t restore search competition.<\/p>\n<p>\u201cYour honor, we are not here for a Pyrrhic victory,\u201d DOJ lawyer David Dahlquist said in court in late April. \u201cThis is the time for the court to tell Google and all other monopolists who are out there listening \u2014 and they are listening \u2014 that there are consequences when you break the antitrust laws.\u201d<\/p>\n<p>But Google CEO Sundar Pichai appeared Wednesday in a Washington court in the search remedies trial and argued the proposals were \u201cfar-reaching, so extraordinary\u201d that they would effectively give competitors \u201cthe ability to reverse-engineer our search engine for free.\u201d He also said sharing data would jeopardize users\u2019 privacy.<\/p>\n<h2 id=\"h328027\"><a id><\/a>What\u2019s at stake for Google \u2014 and Silicon Valley<\/h2>\n<p>The stakes for Google \u2014 and the broader tech industry \u2014 are enormous. The ad tech trial is scheduled to resume in September. Remedies in the search case are expected near the end of the summer. Responding to a question on the call about the mounting legal risk, Cook said, \u201cWe\u2019re monitoring these closely, but as you point out, there\u2019s risk associated with them, and the the outcome is unclear.\u201d<\/p>\n<p>If the courts side with the DOJ, it could signal an impending era of aggressive antitrust enforcement \u2014 one that doesn\u2019t just slap fines on monopolistic platforms but forces them to break apart.
