(Photo by Anna Rose Layden\/Getty Images)<\/span><\/p>\n<p><\/fbs-accordion><small>Getty Images<\/small><\/figcaption><\/figure>\n<p>The Biden administration has finalized a widely anticipated measure to curb U.S. investments in China, which will go into effect in January 2025.<\/p>\n<p>The <a href=\"https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" data-ga-track=\"ExternalLink:https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" aria-label=\"rule from the Treasury Department\">rule from the Treasury Department<\/a>, issued October 28, follows President Joe Biden\u2019s August 2023 <a href=\"https:\/\/home.treasury.gov\/system\/files\/206\/Executive%20Order%2014105%20August%209%2C%202023.pdf\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/home.treasury.gov\/system\/files\/206\/Executive%20Order%2014105%20August%209%2C%202023.pdf\" data-ga-track=\"ExternalLink:https:\/\/home.treasury.gov\/system\/files\/206\/Executive%20Order%2014105%20August%209%2C%202023.pdf\" aria-label=\"executive order\">executive order<\/a> on outbound investment. It aims to restrict American companies from indirectly supporting China\u2019s military advancements and targets investments in high-tech sectors like semiconductors, quantum technology and artificial intelligence.<\/p>\n<p>U.S. policy for screening inbound foreign investment has moved toward <a href=\"https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/04\/25\/tiktok-law-signals-a-shift-in-us-foreign-investment-stance\/\" target=\"_self\" title=\"https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/04\/25\/tiktok-law-signals-a-shift-in-us-foreign-investment-stance\/\" data-ga-track=\"InternalLink:https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/04\/25\/tiktok-law-signals-a-shift-in-us-foreign-investment-stance\/\" aria-label=\"tighter oversight\">tighter oversight<\/a> in recent years, especially with regard to China, and this trend will likely continue regardless of the winner of the presidential election November 5. Inbound screenings are handled by the <a href=\"https:\/\/home.treasury.gov\/policy-issues\/international\/the-committee-on-foreign-investment-in-the-united-states-cfius\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/home.treasury.gov\/policy-issues\/international\/the-committee-on-foreign-investment-in-the-united-states-cfius\" data-ga-track=\"ExternalLink:https:\/\/home.treasury.gov\/policy-issues\/international\/the-committee-on-foreign-investment-in-the-united-states-cfius\" aria-label=\"Committee on Foreign Investment in the United States\">Committee on Foreign Investment in the United States<\/a>, a federal interagency committee which is tasked with evaluating the national security implications of foreign investments in the U.S. and which will also handle the outbound screenings.<\/p>\n<p>A notice of proposed rulemaking issued by Treasury in June 2024 clarified the scope of the new restrictions, which will apply to greenfield investments, joint ventures and U.S.-controlled foreign subsidiaries. <a href=\"https:\/\/www.morganlewis.com\/news\/2024\/06\/us-outbound-investment-screening-regime-more-onerous-than-cfius\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/www.morganlewis.com\/news\/2024\/06\/us-outbound-investment-screening-regime-more-onerous-than-cfius\" data-ga-track=\"ExternalLink:https:\/\/www.morganlewis.com\/news\/2024\/06\/us-outbound-investment-screening-regime-more-onerous-than-cfius\" aria-label=\"Legal experts have warned\">Legal experts have warned<\/a> of uncertainties in how the criteria around outbound investment could be applied and of unintentionally negative effects on U.S. businesses or investors that could fall afoul of the restrictions.<\/p>\n<p>\u201cMost of the final regulations are consistent with the language in June\u2019s draft regulations, but that is often to be expected \u2014 so much interagency work goes into drafting regulations that bureaucratic inertia can prevent a lot of changes after the public\u2019s comments are received,\u201d says Jonathan Gafni, senior counsel and head of the U.S. foreign investment practice at law firm <a href=\"https:\/\/www.linklaters.com\/en\/insights\/blogs\/foreigninvestmentlinks\/2024\/june\/the-us-outbound-foreign-investment-regime\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/www.linklaters.com\/en\/insights\/blogs\/foreigninvestmentlinks\/2024\/june\/the-us-outbound-foreign-investment-regime\" data-ga-track=\"ExternalLink:https:\/\/www.linklaters.com\/en\/insights\/blogs\/foreigninvestmentlinks\/2024\/june\/the-us-outbound-foreign-investment-regime\" aria-label=\"Linklaters\">Linklaters<\/a> in Washington.<\/p>\n<p>In its NPRM, Treasury sought input on exempting certain limited partnership investments from the program. The department initially proposed two options: passive LP investments below 50% of a fund\u2019s assets under management or those under $1 million. Treasury revised its approach based on public feedback. The new option would exempt LP investments either below $2 million (including parallel or co-investments) or where the fund provides assurances that capital won\u2019t be used in restricted transactions, so long as the LP\u2019s rights are limited to a narrow set of minority protections.<\/p>\n<p>\u201cI suspect that the latter option will become more popular with investors \u2014 assuming they are willing to give up rights beyond the enumerated minority investor protections, but perhaps less so with financial sponsors who will have to narrow the investment guidelines and conduct more diligence,\u201d Gafni says.<\/p>\n<p>Gafni also notes there are some instances in the final regulations \u2014 including application of the definition of \u201cU.S. person\u201d to non-U.S. entities with unincorporated U.S. branch offices and application to certain indirect investments \u2014 for which Treasury plans to post illustrative examples on its website.<\/p>\n<p>This is consistent with CFIUS\u2019 increasing practice of providing guidance to the private sector via posts on its <a href=\"https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" data-ga-track=\"ExternalLink:https:\/\/home.treasury.gov\/policy-issues\/international\/outbound-investment-program\" aria-label=\"website\">website<\/a>, as opposed to guidance documents formally published, and therefore formally notified to the public, via the Federal Register.<\/p>\n<p>\u201cAlong with others, I\u2019ve been questioning the extent to which parties can and should rely on these web posts for legal guidance, and the expansion of this practice to the outbound foreign investment program is not a good sign,\u201d Gafni says. \u201cMoreover, to the extent that parties will need time to prepare for the new program, it will be important for Treasury to post the examples and other guidance well before the program\u2019s January 2 effective date.\u201d<\/p>\n<p>The restrictions come at a time when industry groups have expressed worries about growing protectionism and the impact on U.S. competitiveness.<\/p>\n<p>The <a href=\"https:\/\/globalbusiness.org\/survey\/\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/globalbusiness.org\/survey\/\" data-ga-track=\"ExternalLink:https:\/\/globalbusiness.org\/survey\/\" aria-label=\"2024 Inbound Investment Survey\">2024 Inbound Investment Survey<\/a>, released in June, polled members of the <a href=\"https:\/\/globalbusiness.org\/\" rel=\"nofollow noopener noreferrer\" target=\"_blank\" title=\"https:\/\/globalbusiness.org\/\" data-ga-track=\"ExternalLink:https:\/\/globalbusiness.org\/\" aria-label=\"Global Business Alliance\">Global Business Alliance<\/a>, an advocacy group for international companies doing business in the U.S. Thirty-six percent of respondents believe the U.S. business climate is worsening, with only 5% seeing improvement. This dip in confidence is attributed to several factors, including regulatory changes and protectionism.<\/p>\n<p>Among the top concerns highlighted in the survey was the perceived politicization of <a href=\"https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/03\/19\/with-tiktok-ban-congress-tries-to-do-what-cfius-could-not\/\" target=\"_self\" title=\"https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/03\/19\/with-tiktok-ban-congress-tries-to-do-what-cfius-could-not\/\" data-ga-track=\"InternalLink:https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/03\/19\/with-tiktok-ban-congress-tries-to-do-what-cfius-could-not\/\" aria-label=\"cross-border investment reviews\">cross-border investment reviews<\/a>, which companies fear could adversely affect their operations and future investment decisions.<\/p>\n<\/div>\n<p> Courtney Fingar <br \/><a href=\"https:\/\/www.forbes.com\/sites\/courtneyfingar\/2024\/11\/01\/us-outbound-investment-rule-finalized-set-to-take-effect-january-2025\" class=\"button purchase\" rel=\"nofollow noopener\" target=\"_blank\">Read More<\/a><\/p>\n","protected":false},"excerpt":{"rendered":"<p>BALTIMORE, MARYLAND &#8211; OCTOBER 29: U.S. President Joe Biden takes the stage to speak on his &#8230; [+] administration&#8217;s Investing in America agenda at the Port of Baltimore on October 29, 2024 in Baltimore, Maryland.
